Jur. 2d Contracts Summary<\/h2>\n<div>\n<p>All case links go to Westlaw and require login.<\/p>\n<\/div>\n<h2>Scope:<\/h2>\n<p>This article discusses the law of contracts generally, including the definitions of various kinds of contracts and the distinctions between them; the principles governing and requisites for the formation of contracts, such as assent, offer, acceptance, consideration, definiteness, and formalities; the effect of mistake, fraud, duress, and undue influence; illegality arising from violation of constitution, statute, or public policy; the construction, effect, and enforceability of contracts, including such issues as entirety or divisibility, persons bound and entitled, conditions, time or place, and compensation; the modification, renewal, rescission, termination, or discharge of contracts; the performance or breach of contracts, including anticipatory breach, sufficiency and approval of performance, waiver of strict or full performance, excuses for nonperformance, and breach as a cause of action; and practice and procedure in contract actions generally.<\/p>\n<h2>Federal Aspects:<\/h2>\n<p>This article discusses federal statutes dealing with electronic signatures in global and national commerce.
