Modification, Extinguishment, and Renewal, C. Rescission, Termination, or Discharge, 1. Nature of Contractual Rescission, Termination, or Discharge, \u00a7 513 &#8211; Methods of discharge or termination of contracts<\/h2>\n<p>Generally, a contract may be canceled only under its own terms or through mutual agreement.[<a href=\"#fn1\" name=\"fn-ref1\">1<\/a>] Contracts have the effect of law for the parties and may be dissolved only through the consent of the parties or on grounds provided by law.[<a href=\"#fn2\" name=\"fn-ref2\">2<\/a>] A contract may be discharged by performance in accordance with its terms,[<a href=\"#fn3\" name=\"fn-ref3\">3<\/a>] or by the expiration of the time during which it is to remain operative.[<a href=\"#fn4\" name=\"fn-ref4\">4<\/a>] In addition, there are several other methods of discharging contracts, including rescission by agreement or by virtue of a contractual provision,[<a href=\"#fn5\" name=\"fn-ref5\">5<\/a>] rescission for original invalidity,[<a href=\"#fn6\" name=\"fn-ref6\">6<\/a>] and rescission for failure of consideration[<a href=\"#fn7\" name=\"fn-ref7\">7<\/a>] or a material breach or default.[<a href=\"#fn8\" name=\"fn-ref8\">8<\/a>] Parties to a valid contract may rescind or abandon it,[<a href=\"#fn9\" name=\"fn-ref9\">9<\/a>] or substitute another in its place,[<a href=\"#fn10\" name=\"fn-ref10\">10<\/a>] or by conduct inconsistent with the continued existence of the original contract estop themselves from asserting any right thereunder.[<a href=\"#fn11\" name=\"fn-ref11\">11<\/a>]<\/p>\n<div class=\"feature-para-block\">\n<div class=\"feature-para-name\">Definition:<\/div>\n<p>To &#8220;rescind&#8221; a contract is to abrogate or cancel the contract, unilaterally or by agreement, or to make void; to repeal or annul.[<a href=\"#fn12\" name=\"fn-ref12\">12<\/a>]<\/p>\n<\/div>\n<p>Rescission is an equitable remedy that invalidates an agreement,[<a href=\"#fn13\" name=\"fn-ref13\">13<\/a>] not a cause of action,[<a href=\"#fn14\" name=\"fn-ref14\">14<\/a>] which rests on the equitable principle that a person shall not be allowed to enrich him- or herself unjustly at the expense of another.[<a href=\"#fn15\" name=\"fn-ref15\">15<\/a>] The effect of the remedy of rescission is generally to extinguish a rescinded contract so effectively that in contemplation of law it has never had existence,[<a href=\"#fn16\" name=\"fn-ref16\">16<\/a>] and to put or restore the parties to status quo.[<a href=\"#fn17\" name=\"fn-ref17\">17<\/a>] The remedy of rescission and restitution is an alternative to damages in an action for breach of contract.[<a href=\"#fn18\" name=\"fn-ref18\">18<\/a>]<\/p>\n<div class=\"feature-para-block\">\n<div class=\"feature-para-name\">Practice Tip:<\/div>\n<p>The termination of a contract is not presumed, and the burden of establishing it rests upon the party who asserts it.[<a href=\"#fn19\" name=\"fn-ref19\">19<\/a>]<\/p>\n<\/div>\n<div>\n<h2>All case links go to Westlaw and require login.<\/h2>\n<\/div>\n<p>  <a href=\"#fn-ref1\" name=\"fn1\" class=\"footnote-revlink\">1<\/a>  <span>\u00a0<span class=\"cite\">      <a href=\"https:\/\/1.next.westlaw.com\/Link\/Document\/FullText?findType=Y&amp;originatingContext=document&amp;transitionType=DocumentItem&amp;pubNum=0000960&amp;refType=RP&amp;originatingDoc=&amp;serNum=2026980029\" rel=\"nofollow noopener\" target=\"_blank\" title=\"Innovative Modular Solutions v.
