Construction and Effect, A. General Rules of Construction, 1. In General, \u00a7 323 &#8211; Construction or interpretation of contracts, generally<\/h2>\n<p>In reviewing a contract, courts may engage in interpretation or construction of the contractual terms.[<a href=\"#fn1\" name=\"fn-ref1\">1<\/a>] Contract interpretation involves ascertaining the meaning of contractual words; construction refers to deciding their legal effect.[<a href=\"#fn2\" name=\"fn-ref2\">2<\/a>] Specifically, when interpreting a contract, the ultimate goal is to ascertain and give effect to the intent of the parties as reasonably manifested by the language of their written agreement, and when construing agreements involving clear and unambiguous terms, a court need only examine the writing itself to give effect to the parties&#8217; understanding.[<a href=\"#fn3\" name=\"fn-ref3\">3<\/a>] Where a contract dispute centers on the meaning of certain terms, courts engage in the process of interpretation, rather than construction.[<a href=\"#fn4\" name=\"fn-ref4\">4<\/a>]<\/p>\n<div class=\"feature-para-block\">\n<div class=\"feature-para-name\">Observation:<\/div>\n<p>It is doubtful if the abstract distinction between the terms is of any vital significance, and certainly, in common and legal usage, &#8220;construction&#8221; and &#8220;interpretation&#8221; are used interchangeably.[<a href=\"#fn5\" name=\"fn-ref5\">5<\/a>]<\/p>\n<\/div>\n<p> The principles of contract construction are only guides to interpretation and not rules requiring blind adherence.[<a href=\"#fn6\" name=\"fn-ref6\">6<\/a>] The courts must read a contract as the average person would read it and should not give a contract a strained or forced construction.[<a href=\"#fn7\" name=\"fn-ref7\">7<\/a>]<\/p>\n<p>A contract must be construed as of the date on which it was made;[<a href=\"#fn8\" name=\"fn-ref8\">8<\/a>] a written contract becomes binding when it is finally executed or delivered, unless a different intent appears.[<a href=\"#fn9\" name=\"fn-ref9\">9<\/a>] The date on a contract is ordinarily the effective date, and where the contract is executed later, its contractual terms relate back and are effective from the date of the contract if such coverage is clear from the face of the contract.[<a href=\"#fn10\" name=\"fn-ref10\">10<\/a>]<\/p>\n<div class=\"feature-para-block\">\n<div class=\"feature-para-name\">Practice Tip:<\/div>\n<p>When construing the date upon which a legal instrument was executed, the date on the instrument is generally considered prima facie evidence of the date of execution.[<a href=\"#fn11\" name=\"fn-ref11\">11<\/a>]<\/p>\n<\/div>\n<div>\n<h2>All case links go to Westlaw and require login.<\/h2>\n<\/div>\n<p>  <a href=\"#fn-ref1\" name=\"fn1\" class=\"footnote-revlink\">1<\/a>  <span>\u00a0<span class=\"cite\">      <a href=\"https:\/\/1.next.westlaw.com\/Link\/Document\/FullText?findType=Y&amp;originatingContext=document&amp;transitionType=DocumentItem&amp;pubNum=0000595&amp;refType=RP&amp;originatingDoc=&amp;serNum=2038432205\" rel=\"nofollow noopener\" target=\"_blank\" title=\"Payton v.
